End User License Agreement (EULA)

IMPORTANT: Please read this End User License Agreement (“Agreement”) carefully before using the services or accessing the software provided by IndieTalent (“Licensor”). By using the software or services, you agree to be bound by the terms of this Agreement.

1. Grant of License

IndieTalent grants you (“Licensee”) a non-exclusive, non-transferable, revocable license to use the software provided by IndieTalent solely for personal, non-commercial use in
accordance with the terms and conditions of this Agreement.

License Scope:

• You may download, install, and use the software on a device for personal use only.
• You may not redistribute, sublicense, or transfer the software to any third party.
• You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, or otherwise modify the software.

2. Restrictions

You may not:

• Copy, distribute, or share the software in any form unless explicitly permitted under this Agreement.
• Use the software for commercial purposes or in a manner that violates any laws or regulations.
• Modify, adapt, or create derivative works based on the software.
• Use the software to infringe on the intellectual property rights of others.

3. Ownership

The software is licensed, not sold, to you. IndieTalent retains all rights, title, and interest in the software, including any updates or upgrades. All rights not granted to you in this
Agreement are reserved by IndieTalent.

4. Termination

This Agreement will terminate automatically if you violate any of its terms. Upon termination, you must immediately stop using the software and delete all copies from your devices.

IndieTalent may terminate this Agreement at any time for any reason, including if we stop supporting the software or your violation of the Agreement terms.

5. Updates

IndieTalent may, from time to time, provide updates, enhancements, or fixes to the software. These updates will be covered under the same terms as this Agreement. You agree to install updates promptly when notified.

6. Warranty Disclaimer

The software is provided “as is” without any warranties or guarantees, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose. IndieTalent does not guarantee that the software will meet your requirements or that it will be error-free or uninterrupted.

7. Limitation of Liability

In no event will IndieTalent be liable to you for any damages arising from the use or inability to use the software, including, but not limited to, direct, indirect, incidental,
special, or consequential damages. Your sole remedy for any dissatisfaction with the software is to stop using it.

• India-Specific Consideration: Under Indian consumer law, consumers may have statutory rights that cannot be waived by this Agreement. In case of disputes, the
  courts in India will have exclusive jurisdiction.
• International Consideration: For users outside India, any disputes arising from this Agreement will be subject to the jurisdiction of [Your Jurisdiction], and you
  agree to resolve any issues in the courts located in that jurisdiction.

8. Data Privacy and Security

By using the software, you agree to the collection and use of your data as outlined in IndieTalent’s Privacy Policy. IndieTalent is committed to safeguarding your privacy and
ensuring the security of your personal information.

• India-Specific Data Protection: For users in India, the collection and use of your
  data will comply with Indian Data Protection Laws (e.g., the IT Act, 2000, and
  SPDI Rules).
• International Data Protection: For users outside India, the collection and
  processing of data will comply with applicable laws, such as the GDPR for users
  in the EU, and CCPA for users in California.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of India for users within India. For users outside India, the Agreement will be governed by the
laws of [Your Jurisdiction] (e.g., the United States, the United Kingdom, etc.).

Any disputes arising from this Agreement will be resolved in the competent courts located in [Your Jurisdiction] for international users or [City, India] for Indian users.

10. Indemnity

You agree to indemnify and hold harmless IndieTalent, its affiliates, and their employees, agents, and representatives from any claims, losses, damages, liabilities, or expenses
(including legal fees) arising from your use of the software, violation of this Agreement, or infringement of any third-party rights.

11. Third-Party Software

The software may include third-party software, which may be subject to separate licensing agreements. By using the software, you agree to comply with the terms and conditions of such third-party software.

12. Entire Agreement

This Agreement constitutes the entire understanding between you and IndieTalent with respect to the software and supersedes any prior agreements or understandings regarding the software.

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS END USER LICENSE AGREEMENT
